About Company
The Mental Wellness Initiative (MWI) is a non-profit company established in 2020 to respond to the mental health crisis unleashed by Covid-19. Now in its third year of operation, the Board has initiated a strategic realignment process in which expanding the skill set of the Board and positioning MWI for growth are important priorities. In support of this, the Board is recruiting three non-executive directors, one of whom will take up the role as independent non-executive Chair. We invite interested and qualified candidates to apply for these positions.
ABOUT MWI
The Mental Wellness Initiative (MWI) is a South African-based non-profit organisation that seeks to make mental wellness a priority inclusion in social justice and social development endeavours.
MWI is aligned with the UN and WHO’s emphasis on mental health and wellness as crucial for economic development, global equality and the full realisation of human rights. Within the ambit of our work, we focus on mental health and wellness as it affects political and organisational leadership, business, institutions, communities, families and individuals. Programmatically, since inception and over the next three years, work is and will be directed towards impact in the social justice, social development and corporate sectors, with particular attention to gender equality, education and leadership.
LOCATION
MWI is based in Johannesburg, South Africa.
QUALIFICATIONS, SKILLS AND EXPERIENCE
MWI seeks to establish a board of directors which has the appropriate balance of knowledge, skills, experience, diversity and independence to enable it to discharge its governance roles and responsibility objectively and effectively.
The appointed non-executive directors should possess the qualifications, skills, expertise and commitment which will support the organisation in achieving its objectives. We are particularly interested in suitably qualified candidates with experience in one or more of the following areas of expertise:
Board leadership and governance, preferably but not necessarily of non-profit companies.
Risk management: practical experience in risk management.
Financial management and audit oversight: a formal accounting qualification such as CA(SA), ACCA, or CIMA.
Academic credentials in the areas that could include risk management, financial management, marketing, GBV and social justice.
The Board of MWI is committed to diversity, inclusion and transformation and strives to reflect in its composition South Africa’s racial, cultural, sex, gender and disability diversity.
Candidates must have a clear understanding of the fiduciary duties of a director, and demonstrate the following personal characteristics:
Integrity: Have experience in a position of trust requiring them to act in good faith, avoid conflicts of interest, and display the highest standards of honesty and integrity within and outside the organisation.
Independence: Be able to exercise judgment independently of any stakeholder outside of MWI, and not occupy any political office or a position in any sphere of government.
Competence: The nominated directors must have obtained a degree or equivalent qualification and have demonstrable practical knowledge and experience relevant to the role.
KEY RESPONSIBILITIES
The primary purpose of our Board is to provide governance and oversight of our organisation: what work we do, how we spend our funds, how we manage risk, and how we comply with law and best practice.
The Board participates in the development of the strategic direction of and plan for the organisation, and monitors the organisation’s activities to ensure that we continue to work to meet our strategic objectives.
The Board approves our annual budget, reviews quarterly reports on spending against budget, signs off on the annual audit of our financial statements, and makes sure that MWI is adequately resourced to meet our strategic objectives.
The Board continuously assesses risks to the organisation, and ensures that adequate risk management measures are in place.
The MWI Board and its committees meet on a quarterly basis, and reviews its governance practices on an ongoing basis.
SALARY
Non-executive director positions are not remunerated, but all reasonable and agreed travel expenses will be covered by the organisation.
