Criteria for the selection of an Independent Trustee
for the Kgolo Community Development Trust


Position Available: Independent Trustee


Overview:
The Kgolo Community Development Trust (KCDT), formerly known as the Hotazel Manganese Mine Education Trust (HMMET), exists to uplift historically disadvantaged persons and communities from Joe Morolong Local Municipality (JMLM) and the broader John Taolo Gaetsewe (JTG) District of the Northern Cape. The Trust invests in the development of the target communities through education, health, infrastructure, and general community development, with the vision of opening diverse opportunities for individuals and communities to enhance their chances of success and improve the quality of their lives.


The Trust was established in 2009 to introduce Black participation into HMM/SAMANCOR. The Trust is registered as a Public Benefit Organisation (PBO) with the South African Revenue Service (SARS) and governed by the Broad-Based Black Empowerment Act (2003).


The Trust has the following priority areas of investment:
-Education
-Health
-Infrastructure


The governance and institutional structure of the KCDT is as follows:
Role Description:
To serve as an Independent Trustee. The appointed Trustee must have a strong financial background and be committed to community socio-economic development.
Please note the advertised position is only open to South African citizens, and applicants from all provinces- but particularly the Northern Cape- are encouraged to apply.


1.Required Experience/Qualification:
• Relevant finance postgraduate or master’s degree with at least 5 years’ experience in the finance field. A CA (SA) qualification will be an advantage.
• A minimum of 5 years’ experience with executive management, trust governance, Board and Audit, and/or Risk and Compliance Committee.


2.Required Skills:
• Strong financial aptitude
• Strong financial reporting
• Understanding of community development
• Sound knowledge of the law applicable to Trusts and a good understanding of the fiduciary duties of an Independent Trustee.
Duties and responsibilities:
• take all reasonable steps to fulfil the mandate of the Trust and to ensure that the interests of the Trust and beneficiaries are protected at all times;
• act with due care, diligence and good faith;
• To declare any conflict of interest;
• Act with impartiality in respect of all programmes and beneficiaries;
• To act in accordance with the rules of the Deed of Trust.


Meetings
There are four Board meetings during each financial year, and all trustees should attend unless there is a valid reason for non-attendance. Trustees are expected to contribute meaningfully at meetings.

Preference will be given to candidates with a verifiable track record as a Trustee.
Candidates must be South African Citizens.
